By accessing this website or engaging our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. Use of the website constitutes acceptance of these Terms. Engagement of consulting services is governed by the applicable Engagement Letter, which takes precedence over these Terms in the event of any conflict.

3. Description of Services

Sablehearth provides operational consulting services comprising facilitation and documentation only. These services do not constitute financial advice, legal counsel, medical advice, or any other form of regulated professional service. The specific scope of each consulting engagement is defined in a written Engagement Letter signed prior to commencement.

Services are offered primarily to clients based in Bangkok, Thailand, and surrounding areas. We may accept engagements from clients elsewhere at our discretion.

4. Engagement Terms

4.1 Commencement

No consulting engagement begins until an Engagement Letter is signed by both parties and any agreed initial payment has been received.

4.2 Scope

The scope of each engagement is defined exclusively by the Engagement Letter. Any requests for work outside that scope must be agreed in a separate written amendment.

4.3 Cancellation and changes

Either party may cancel an engagement by providing written notice to the other party. Fees for work completed up to the date of cancellation remain payable. The Engagement Letter specifies any additional cancellation terms applicable to that engagement.

5. Payment Terms

Fees are denominated in Thai Baht (฿). Payment terms, including instalments and due dates, are specified in the Engagement Letter. Invoices not paid within the agreed period may attract a late payment fee as described in the Engagement Letter.

All fees are fixed for the scope described in the Engagement Letter. There are no variable fees for work within the agreed scope.

The content of this website — including text, layout, and design — is owned by or licensed to Sablehearth. You may not reproduce, distribute, or adapt website content without our prior written consent.

Deliverables produced during an engagement are transferred to the client and owned by the client upon delivery, subject to full payment of the applicable fees. Sablehearth retains no licence to use, reproduce, or reference those Deliverables except where specifically agreed in writing.

8. Confidentiality

Any confidentiality obligations applicable to a consulting engagement are set out in the Engagement Letter. As a general practice, Sablehearth treats all client information as confidential and does not disclose it to third parties without consent.

9. Disclaimers

This website and its content are provided on an "as is" basis. We make no representations about the accuracy or completeness of information on the website. Sablehearth's consulting services involve facilitation and documentation — we do not represent that any particular business outcome will result from an engagement.

10. Limitation of Liability

To the fullest extent permitted by Thai law, Sablehearth's total liability for any claim arising out of or in connection with a consulting engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or special damages of any kind.

Nothing in these Terms limits liability for fraud or for any matter where limitation is not permitted by law.

11. Indemnification

You agree to indemnify and hold Sablehearth harmless from any claims, losses, or damages arising from your breach of these Terms or your use of the website in a manner that is unlawful or harmful to third parties.

12. Termination

We may suspend or terminate access to the website or decline to enter into engagements with any party at our discretion. Consulting engagements may be terminated as described in the applicable Engagement Letter. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, and limitation of liability provisions — will do so.

13. Dispute Resolution

These Terms are governed by the laws of Thailand. Any dispute arising in connection with these Terms or our Services will first be referred to informal resolution through good-faith discussion. If resolution is not reached within 30 days, disputes will be submitted to the jurisdiction of the courts of Bangkok, Thailand.

14. General Provisions

14.1 Entire agreement

For website use, these Terms constitute the entire agreement. For consulting engagements, the Engagement Letter, read alongside these Terms, constitutes the entire agreement.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.

14.3 No waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4 Assignment

You may not assign rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor business.

15. Changes to These Terms

We may update these Terms from time to time. Any material changes will be published on this page with a revised effective date. Continued use of the website after a change constitutes acceptance. Changes to terms governing an active consulting engagement require written agreement by both parties.
